About the Seminar 


Directors face difficult choices when the tough gets going for a company. Do they press on or pull down the curtains on a once promising company? In such situations, directors may be tempted to transfer assets out of the company in order to secure their personal interests or the interests of associates. What rights do creditors have when directors succumb to temptation?

These issues were at the centre of the case in Living the Link Pte Ltd (in creditors’ voluntary liquidation) and others v Tan Lay Tin Tina and others [2016] SGHC 67 where the directors sought to transfer assets and cash out of Living the Link to related third parties in the hope of defeating creditors’ claims.

This seminar discusses creditors’ rights when assets are dissipated in bad times by debtor companies.

Speaker Profile

Bryan Tan, Associate Director, Nair & Co.

Bryan is an Associate Director of Nair & Co LLC. His main areas of practice are corporate and commercial litigation, insolvency and employment-related disputes.

He has acted for both companies and individuals in pursuing and defending creditor claims. He has also acted for liquidators, most notably in the case of Living the Link Pte Ltd (in creditors’ voluntary liquidation) and others v Tan Lay Tin Tina and others [2016] SGHC 67 where assets in the amount of $2mn were returned to the company under liquidation.

Bryan graduated from the University of Melbourne in 2008 with degrees in Law and Commerce. He was admitted to the Singapore Bar in 2013.

In 2004, Bryan received the Alan Patterson International Scholarship. The scholarship is awarded to an outstanding graduate of Trinity College Foundation Studies who, in going to undergraduate study at the University of Melbourne, will do so as a resident student.

Bryan currently serves as President of the University of Melbourne Alumni Association (Singapore).
