Spirited Away - When the Going Gets Tough and the Assets Get Going

About the Seminar 


Directors face difficult choices when the tough gets going for a company. Do they press on or pull down the curtains on a once promising company? In such situations, directors may be tempted to transfer assets out of the company in order to secure their personal interests or the interests of associates. What rights do creditors have when directors succumb to temptation?

These issues were at the centre of the case in Living the Link Pte Ltd (in creditors’ voluntary liquidation) and others v Tan Lay Tin Tina and others [2016] SGHC 67 where the directors sought to transfer assets and cash out of Living the Link to related third parties in the hope of defeating creditors’ claims.

This seminar discusses creditors’ rights when assets are dissipated in bad times by debtor companies.

Speaker Profile

Bryan Tan, Associate Director, Nair & Co.

Bryan is an Associate Director of Nair & Co LLC. His main areas of practice are corporate and commercial litigation, insolvency and employment-related disputes.

He has acted for both companies and individuals in pursuing and defending creditor claims. He has also acted for liquidators, most notably in the case of Living the Link Pte Ltd (in creditors’ voluntary liquidation) and others v Tan Lay Tin Tina and others [2016] SGHC 67 where assets in the amount of $2mn were returned to the company under liquidation.

Bryan graduated from the University of Melbourne in 2008 with degrees in Law and Commerce. He was admitted to the Singapore Bar in 2013.

In 2004, Bryan received the Alan Patterson International Scholarship. The scholarship is awarded to an outstanding graduate of Trinity College Foundation Studies who, in going to undergraduate study at the University of Melbourne, will do so as a resident student.

Bryan currently serves as President of the University of Melbourne Alumni Association (Singapore).

Introduction

Singapore is known for its very strong stance against corruption and bribery, but how do our laws compare against those of other countries? In recent years, a lot of attention has been on the US Foreign Corrupt Practices Act and the UK's Bribery Act. Speaker Profile

Eric Chan

Eric Chan is a Partner of Shook Lin & Bok LLP. His area of legal practice is financial services regulation. His work includes advising and helping financial institutions to understand and comply with Singapore financial regulatory rules and regulations. He acts for financial institutions new to the market in applying for the requisite approvals and authorisations, as well as existing financial institutions in ongoing compliance matters. Presently, Eric’s work covers the full spectrum of financial regulatory issues in Singapore, including banking, insurance, capital markets, payment systems and services, anti-money laundering and sanctions compliance.

 

Eric’s work stems from his years of varied professional experience. He first started private practice doing commercial litigation. He later joined the Monetary Authority of Singapore (MAS) as in-house counsel, where he provided legal support and advice on various regulatory initiatives. During this time, Eric concurrently taught banking law as an Adjunct Senior Fellow at the National University of Singapore.

 

In 2003, Eric was seconded from the MAS to the Bank for International Settlements to do research on payment systems law. Later he rejoined MAS as Head of International & Regional Relations and worked on policy development for international central banking issues such as money laundering and sanctions compliance. In 2006, Eric joined American Express Bank as the Regional Director for Compliance & Ethics. From 2008 to 2014, Eric was a director in another leading Singapore law firm where he helped to set up their financial services regulation practice.

DELIBERATE ONLINE FALSEHOODS

On 16 January 2018, the Singapore Parliament issued a press release stating that the Select Committee on Deliberate Online Falsehoods - Causes, Consequences and Countermeasures (“Select Committee”) is inviting the general public to submit written representations on any matter falling within its Terms of Reference. 

The Select Committee has been appointed by the Singapore Parliament with the following terms of reference: 

To examine and report on: 

(a)   the phenomenon of using digital technology to deliberately spread falsehoods online;

(b)   the motivations and reasons for the spreading of such falsehoods, and the types of individuals and entities, both local and foreign, which engage in such activity;

(c)   the consequences that the spread of online falsehoods can have on Singapore society, including to our institutions and democratic processes; and

(d)   how Singapore can prevent and combat online falsehoods, including:

(i)    the principles that should guide Singapore's response; and

(ii)   any specific measures, including legislation, that should be taken.

 

The Select Committee is chaired by Deputy Speaker of Parliament.
