The conduct of internal investigations has always been important. The organization’s need to find facts and take prompt action must be balanced with its responsibilities to employees, to protect confidential and personal data and to comply with law. In the current age of regulatory and prosecutorial oversight, these needs have taken on a new importance.

In order to effectively manage allegations of fraud, bribery & corruption and other misconduct, internal investigations must take account of practical issues and the legal implications that can arise from them. How these pitfalls are handled can have a significant impact on the outcomes of an investigation.

Through case studies, we will examine common issues in internal investigations and consider their legal implications. We will also discuss what organizations should do to investigate misconduct effectively.

Speaker Profile

Prakash Pillai

Partner, Clyde & Co Clasis Singapore

Prakash leads the insolvency and fraud and investigations practices of the Singapore office of Clyde & Co.

Prakash’s experience includes top tier insolvency, related contentious work and litigation. He has advised and acted for liquidators, companies and insolvency professionals in complex local and regional insolvencies, focusing mainly on the contentious aspects, including financial investigations into suspected fraud, tracing and recovery of assets, and claims against directors of the insolvent company and/or third parties. 

Prakash has also advised and represented financial institutions, traders and investors in various disputes involving insider trading, suspected fraud, trading regulations, licensing issues, and breach of fiduciary duties.

Prakash also specialises in international commercial arbitration and has appeared before various arbitral tribunals in both ad-hoc arbitrations and arbitrations governed by the leading institutional rules.

Described as “measured and strategic” by Chambers Asia Pacific 2018, Prakash is recognised as a leading lawyer for his expertise in international arbitration. Leading industry journals such as Chambers Global, Chambers Asia Pacific and Global Arbitration Review and Legal 500 have commended his knowledge and expertise consistently.

Prakash speaks regularly in conferences and seminars. He is the chairman of the Public and International Law Committee of the Law Society and an adjunct Associate Professor at the National University of Singapore’s Law faculty teaching international arbitration law and practice. Prakash is also a Fellow of the Chartered Institute of Arbitrators. He is an established legal author and writes and publishes regularly. Prakash graduated from Queen Mary College, University of London and further obtained a Master’s degree in law from Cambridge University.

Prakash is qualified as a Barrister-at-law at the Middle Temple in London and as an Advocate and Solicitor in Singapore.

 

Owen Hawkes

Owen is a Partner in KPMG’s Forensic practice with 20 years of investigation and regulatory litigation experience. He has qualified and practiced both as an accountant and a lawyer. Prior to joining KPMG, Owen practiced as a barrister for eight years, six of which was at the British Government’s Serious Fraud Office – the United Kingdom’s lead agency on financial crime and international corruption. Owen joined KPMG Forensic in 2007. At KPMG, Owen has been involved in numerous fraud, corruption and anti-trust investigations. He has also undertaken a variety of fraud, bribery and regulatory risk management engagements assisting clients with assessing and upgrading their organizational readiness and controls for fraud and regulatory non-compliance. Who’s Who Legal lists him as a leading expert in Investigations, Forensic Accounting and Asset Recovery, adding that he is “an impressive practitioner who draws widespread praise from peers this year and is listed as a Global Elite Thought Leader. He provides a wealth of expertise on contentious matters, with a particular focus on the life sciences sector.”

 

Junxiang Koh

Legal Director

Clasis LLC, Singapore

Junxiang is a Legal Director at Clasis LLC, Singapore. Junxiang’s main areas of practice are litigation and arbitration disputes, with a focus on shareholder disputes, financial fraud, and regulatory investigations.

He has advised and represented forensic accountants, the Singapore Stock Exchange and the Singapore government in forensic investigations into suspected cases of commercial fraud, accounting irregularities and breaches of listing regulations. Highlights include investigations into the affairs of several publicly-listed companies in Singapore during the S-Chip scandal of 2010, investigating the affairs of a well-known Singapore charity (which resulted in a set of high-profile criminal proceedings against the founders), and acting for the former independent director and audit committee chairman of a public company in his dealings with various regulatory authorities. He has also worked with specialists in the fields of private investigations and computer forensics to trace and recover assets in difficult jurisdictions.

Junxiang’spractice also extends to corporate insolvencies and restructuring. He has acted for creditors, companies and insolvency professionals in numerous high-profile insolvencies, particularly in the resources and shipping sectors, in both contentious and non-contentious matters. Matters of significance include successfully acting in a landmark case involving the novel question of arbitrability of claw-black claims; successfully representing a Hong Kong based investment bank in enforcing its security over the assets of the Singapore property developer, involving injunctions, committal proceedings and a landmark decision on directors’ personal liability for costs of litigation.

We will also be holding a launch for our new programme titled "PIER Counsel Project". This programme aims to pair in-transition legal counsels, in-between jobbers, young law graduates, or those without training contracts to provide professional service for non-profit organisations. Under the guidance of SCCA mentoring members, those who take part in this programme will have a minimal paid position for short-term employment to provide in-house legal advice and services to NGOs, charities and social enterprises.

MR PATRICK TAY 郑德源
Assistant Secretary-General, NTUC

Patrick Tay is the Assistant Secretary-General of NTUC and Member of Parliament of West Coast GRC. He currently chairs the Government Parliamentary Committee for Manpower and co-chairs the Financial Sector Tripartite Committee with the Monetary Authority of Singapore.  

As Director of NTUC’s Legal Services and Strategy, he represents the Labour Movement in tripartite workgroups to review/update employment and industrial relations legislation and has been pivotal in lobbying for the many changes to manpower related laws and policies in Singapore.  

He is also the Executive Secretary for Banking & Financial Services Union and Singapore Manual & Mercantile Workers’ Union. 

As legal adviser to NTUC-affiliated unions in Singapore, he has advised/represented numerous unions/members in complex and contentious issues, dispute resolution, conciliation and in the Industrial Arbitration Court.

Mark Cheng | Intellectual Property Strategist, IP ValueLab

Mark is an Intellectual Property Strategist with IP ValueLab, who delivers IP management solutions on a national level to public agencies and IP-ready businesses. With a strong legal background, he helps review and structure their IP management policies, rights and frameworks. Concurrently, he instructs public officers, entrepreneurs and enterprises at IP Academy as an Adjunct Faculty on IP issues across business, technology and even the arts. Prior to joining IP ValueLab, Mark was an Advocate and Solicitor at an international law firm, where he specialised in dispute resolution, criminal and civil litigation and mediation. Throughout his practice, Mark advised clients on a wide range of disputes ranging from workman compensation and personal injury claims, to cross-jurisdictional disputes for multinational corporations. Mark holds an Honours degree in Law from Singapore Management University and is a member of the Singapore Academy of Law.

 

Regina Lum | Intellectual Property Strategist, IPOS International

Regina is an IP Strategist at IPOS International where she provides consultancy services to clients on making strategic business and innovation decisions based on Patent Analytics. Having led multiple patent analytics projects from battery technologies to underground mapping technologies, Regina has also advised clients on a broad range of technology fields such as composite materials, healthcare & biomedical sciences, artificial intelligence, and building management. A forward-looking strategist, Regina is adept at identifying current and future technology directions, and counts multiple satisfied clients in her portfolio, where she provided actionable insights to shape business strategies and streamline R&D directions through delivery of timely advice, including ‘make’ or ‘buy’ decisions, technology gaps and opportunities, partnership candidates, etc.

Nationalism, anti-corruption drives and reforms in India, Indonesia and Thailand: How do they impact businesses following the general elections?

 

India, Indonesia and Thailand have earlier this year concluded their general elections, with no change to their leaders at the helm. However, underlying policy and regime changes abound, and businesses should pay close attention to the risks of nationalism, selective corruption enforcement and inconsistent policy environments.

While the recent elections carried the mandate of the people, the re-elected governments are unlikely to prioritise pro-business policies amid growing nationalistic tendencies. Indonesia will likely see an increase in pro-Muslim policies, while in India, the government’s political and social goals that are linked to its nationalist agenda will increasingly compete with its economic priorities. As pro-business policies give way to nationalism, foreign businesses will have to adapt to this shift in policymaking if they want to play the long game in these markets.

Anti-corruption drives were – and are likely to remain – a key focus of the government administrations in these countries. However, inconsistent enforcement have led to risks of political tokenism aimed at making an example of corruption enforcement, empowering anti-corruption agencies to selectively target businesses unfairly. This significantly heightens compliance risks for businesses and their in-house counsels.

A strong mandate for ruling parties also brings expectations for substantive reforms, but these are not necessarily the best for businesses. Sweeping reforms and erratic policy-making have shown to be the most disruptive for businesses as they are not able to make business plans and commit resources, raising regulatory and operational risks.

Andrew Macintosh

Partner

Control Risks

Andrew Macintosh is the Partner leading Control Risks’ Asia Pacific practices covering forensics and technology solutions, and is based in Singapore. Andrew leads a team which specialises in investigations, dispute support, forensic accounting, data analytics, eDiscovery and digital forensics.

Andrew has particular expertise in leading on matters involving internal and independent investigations for companies subject to investigation by authorities across multiple jurisdictions, and leads on large, complex matters involving technology and cyber-security issues.

Andrew has previously held a number of roles with Control Risks in Asia, working in offices in India, China and Australia. In these roles, he focused on the delivery of complex investigative, crisis management, integrity due diligence, business intelligence, litigation support and problem-solving projects for clients around the world. 

Before joining Control Risks, Andrew was an intelligence analyst, and then a senior technical officer for the New South Wales Crime Commission. While with the Commission, Andrew was involved in extensive investigations of organised domestic and international criminal activity.

Andrew holds bachelor’s degree in arts (politics and international relations) and master’s in international relations from the Macquarie University, Australia. He has completed the Charles Sturt University Investigators Course and holds Certificate III in Investigative Services and Certificate IV in Security and Risk Management. Andrew is certified to conduct mobile telephone forensics and general forensics equipment.

 

Pratyush Rao

Associate Director

Control Risks

Pratyush Rao is an Associate Director for India and South Asia. He provides research and analysis of political, security and regulatory developments in South Asia, and their implications for clients' commercial activities in the region. He is a regular contributor to Control Risks’ online platform CORE, and conducts bespoke consulting projects.

Prior to joining Control Risks, Pratyush worked for the British High Commission in New Delhi as a Senior Political Adviser and provided analysis and policy advice on issues pertaining to India-Pakistan relations. In addition to this, he also led the High Commission's political engagement work in the sensitive Indian-administered-Kashmir (IaK) region.

Pratyush has also worked for BBC Monitoring, the open-source intelligence wing of the BBC, where he tracked key developments spanning South and East Asia. He holds an MSc in Global Politics from the London School of Economics and Political Science (LSE) and a Post-Graduate Diploma in Journalism from the Indian Institute of Mass Communication (IIMC), New Delhi. He is fluent in three Indian languages including Hindi, Odia and Telugu.

 

Harrison Cheng

Associate Director

Control Risks

Harrison is an Associate Director based in Control Risks’ Singapore office. He provides analysis and research on Malaysia, Thailand, Cambodia and Singapore for Control Risks’ CORE service, as well as for in-depth bespoke reports.

Harrison has worked on projects such as pre-market entry assessments for foreign companies seeking to enter various sectors in Malaysia, which focused on political, regulatory, operational and security risks as well as identification of key stakeholders. He has also provided bespoke assessment of political drivers for regulatory developments and direct implications on a client's interests in a sector, as well as investigations on behalf of foreign companies operating in Malaysia and Thailand which faced or were concerned about threats of violence, regulatory harassment and political interference issued by local partners.

Harrison previously worked as a senior South-East Asia analyst at the Ministry of Defence in Singapore. Harrison holds a Master’s degree in Social Sciences and a Bachelor’s (Honours) degree in Political Science from the National University of Singapore.

 

Achmad Sukarsono

Senior Analyst

Control Risks

Achmad Sukarsono is based in Control Risks’ Singapore office and provides analysis on Indonesia and Malaysia for Control Risks’ CORE service, as well as more in-depth, bespoke consultancy support.

Achmad was previously a London-based Asia analyst at political risk consultancy Eurasia Group where his work included weekly monitoring briefs on Malaysian politics, advising Japanese clients on Indonesian politics through Tokyo road trips, assessments on the labour situation in Indonesia, mapping the alcohol debate in predominantly Muslim Indonesia and Malaysia for a food & beverage company and in-depth reports on the oil sector in Indonesia and Malaysia.

Before joining the political risk industry, Achmad worked as a Southeast Asia analyst for the International Crisis Group, a global think-tank on conflict issues for three years and as a Jakarta-based journalist for international news organisations for a decade. Achmad’s comments on Indonesia and Malaysia have appeared on Bloomberg, Reuters, Wall Street Journal and Financial Times.

Achmad holds a Master of Arts degree in Global and Comparative Politics from Queen Mary University of London and a Bachelor of Social Sciences degree in International Relations from the University of Indonesia, where he joined the 1998 student movement that helped overthrow the Suharto authoritarian regime.

Clementine Fox

Head of Account Management

Clementine is Head of Account Management at Luminance, the artificial intelligence platform for the legal profession. She is responsible for managing and overseeing Luminance clients across the globe, as well as leading adoption and strategic planning for implementation of the platform.

She was admitted as a solicitor (not currently practicing) in the Supreme Court of Queensland, Australia in 2016. Prior to joining Luminance, Clementine worked as an analyst at the Australian Department of Defence. She has also completed a secondment to the Australian Department of Foreign Affairs and Trade.

 

Thomas Chuang

Thomas is a Legal Product Expert in the Singapore office of Luminance, the leading artificial intelligence platform for the legal profession. He started his career practicing as a commercial litigation associate before joining the business development team at an international law firm, where he supported business development and marketing activities throughout Southeast Asia. He now works with firms and corporates across the Asia-Pacific region to implement and roll out Luminance’s artificial intelligence and machine learning technology across various teams.

 

Lam Chung Nian

Partner, Head – Intellectual Property, Technology & Media, Telecommunications and Data Protection Practices

Lam Chung Nian heads the IP/TMT practice at WongPartnership LLP. On the technology front, he has extensive experience representing clients across various industries advising on technology, cybersecurity, cloud computing, fintech, data protection projects. He is also part of the team spearheading the various legal technology initiatives undertaken by the firm.

He is a Fellow of the Chartered Institute of Arbitrators (FCIArb) and has been appointed as an IP Adjudicator at the Intellectual Property Office of Singapore (IPOS) as well as to various IP panels by the World Intellectual Property Organisation (WIPO) and the Singapore International Arbitration Centre (SIAC). 

He is also the Co-Chair of the International Bar Association's Communications Law Committee, and the Vice President of the Asian Patent Attorney Association (Singapore Chapter).

National Day Empathy Project - An Excursion to the Bicentennial Experience

Event Overview

SCCA alongside the Centre For Domstic Employees (CDE) will be assisting a group of distressed foreign domestic workers (FDW) who may not be able to continue employment due to disputes, unfair treatment etc. The objective of the activities seeks to uplift the spirits of these FDWs through the celebration of Singapore’s National Day festivities.

 

About the Bicentennial Experience

The visit will begin with the Time Traveller which is a timed and guided audio-visual experience within the Fort Canning Centre that will take one hour. This will be followed by the Pathfinder, a free and easy experience comprising interactive pavilions within the greenery of Fort Gate where visitors will spend another 30 minutes or more.

An analysis of a variety of clauses from real life examples and which are of general applicability to organisations: what went wrong, what was overlooked in the drafting process and how it could have been avoided.  The seminar is a sequel to the one conducted in 2018: Clauses That Courted Trouble.
